These Terms & Conditions (“Terms”) govern your access to and use of donvoo.com, the Donvoo platform, and any products, services, features, applications, or functionality made available by Donvoo or XTrend Lab LLP (“Donvoo”, “we”, “us”, or “our”).

By accessing, registering for, or using Donvoo, you agree to be bound by these Terms. If you do not agree with these Terms, you should not access or use Donvoo.

Donvoo is a product and service operated by XTrend Lab LLP, a limited liability partnership registered in Assam, India.

Throughout these Terms, “Donvoo”, “we”, “us”, and “our” refer to XTrend Lab LLP and the Donvoo brand.

2. Eligibility and Account Registration

You must provide accurate and reasonably complete information when creating an account or using any Donvoo service that requires registration. You are responsible for maintaining the accuracy of the information associated with your account.

You are responsible for maintaining the confidentiality of your account credentials and for all activities carried out through your account. You must notify Donvoo promptly if you believe that your account has been accessed without authorization, your credentials have been compromised, or any other security incident has occurred.

You must not create an account using false information, impersonate another individual or organization, or create an account for someone else without appropriate authorization.

If you are using Donvoo on behalf of a company, organization, or other legal entity, you represent that you have the authority to accept these Terms on its behalf.

3. Use of Donvoo

You may use Donvoo only for lawful purposes and in accordance with these Terms.

You agree not to misuse Donvoo, interfere with its operation, attempt to gain unauthorized access to its systems or accounts, circumvent security controls, reverse engineer or attempt to extract source code from the platform except where such restriction is prohibited by applicable law, introduce malicious software or code, conduct activities that may damage or overload our infrastructure, or use Donvoo to violate the rights of another person or organization.

You must not use Donvoo for fraudulent, deceptive, abusive, unlawful, or malicious activities.

We reserve the right to investigate suspected violations of these Terms and take appropriate action where reasonably necessary.

4. Donvoo Services

Donvoo may provide software, technology, business tools, integrations, dashboards, automation, data-processing functionality, artificial intelligence functionality, or other services depending on the product or plan you use.

The specific features available to you may depend on your subscription, account type, configuration, geographic location, technical environment, or other factors.

We may add, modify, suspend, or remove features from Donvoo from time to time. Where reasonably practicable, we may provide notice of material changes, particularly where such changes materially affect paid services.

We do not guarantee that every feature or service will always be available or that Donvoo will operate without interruption.

5. Third-Party Integrations and Services

Donvoo may allow you to connect or interact with third-party platforms, applications, APIs, artificial intelligence services, communication services, advertising platforms, or other external services.

These may include services provided by companies such as OpenAI, Anthropic, Meta, Google, or other third-party providers.

Your use of a third-party service is governed by that third party’s own terms, policies, agreements, and applicable fees. Donvoo does not control third-party services and is not responsible for their availability, functionality, security, privacy practices, data processing, data retention, accuracy, performance, or policies.

If you choose to connect Donvoo to a third-party service, you authorize Donvoo to exchange information with that service to the extent necessary to provide the requested integration or functionality.

You are responsible for ensuring that you have the appropriate rights, permissions, accounts, subscriptions, and authorization required to use any third-party service that you connect to Donvoo.

If a third-party service changes its API, functionality, pricing, policies, access requirements, availability, or technical specifications, Donvoo may be required to modify, suspend, or discontinue the corresponding integration.

Donvoo will not be responsible for losses, interruptions, data processing issues, security incidents, service failures, or other consequences arising from the acts or omissions of a third-party provider, except to the extent that such liability cannot lawfully be excluded or limited.

6. Artificial Intelligence Features

Certain Donvoo features may use artificial intelligence or machine-learning technologies provided by Donvoo or third-party providers.

AI-generated outputs may contain errors, inaccuracies, omissions, outdated information, or misleading information. AI-generated information should not automatically be treated as professional, legal, financial, medical, or other expert advice.

You are responsible for reviewing and validating AI-generated outputs before relying on them or using them to make decisions.

Donvoo does not guarantee that AI-generated outputs will be accurate, complete, reliable, appropriate, or suitable for your particular purpose.

Where an AI feature relies on a third-party AI provider, the relevant third party’s terms, policies, limitations, and service availability may also apply.

7. User Content and Data

You retain ownership of the information, text, documents, data, materials, or other content that you submit to Donvoo (“User Content”), except for rights that you separately grant to us under these Terms.

You grant Donvoo the limited rights necessary to host, store, process, transmit, display, and otherwise use User Content solely as reasonably necessary to provide, maintain, secure, and improve the services you have requested, subject to our Privacy Policy and any applicable agreement between you and Donvoo.

You represent that you have the necessary rights, permissions, and authority to submit User Content to Donvoo and to allow Donvoo to process that content for the purposes of providing the services.

You remain responsible for the accuracy, legality, completeness, and appropriateness of User Content.

You must not upload or submit content that you do not have the right or authority to use, or that violates applicable law or the rights of another person.

8. Customer Data and Business Information

If you use Donvoo to store or process information relating to your customers, employees, leads, business contacts, vendors, or other individuals, you are responsible for ensuring that you have an appropriate legal basis and authority to collect, use, disclose, and process that information through Donvoo.

Where Donvoo processes information on behalf of a business customer, the customer may remain responsible for determining the purposes and means of processing that information and for complying with applicable privacy and data-protection laws.

You must not use Donvoo to process information in a manner that violates applicable law or the rights of individuals.

9. Intellectual Property

Donvoo and its underlying technology, software, interfaces, designs, branding, logos, trademarks, documentation, text, graphics, features, and other materials provided by Donvoo are owned by or licensed to XTrend Lab LLP and are protected by applicable intellectual property laws.

Except as expressly permitted under these Terms, you may not copy, reproduce, modify, distribute, sell, license, publicly display, create derivative works from, reverse engineer, or otherwise exploit Donvoo or its proprietary materials without our prior written permission.

Your use of Donvoo does not grant you ownership of Donvoo’s intellectual property.

The Donvoo name, branding, logos, and related marks may not be used without our prior written permission except where permitted by applicable law.

10. Feedback

If you provide suggestions, ideas, recommendations, feature requests, or other feedback regarding Donvoo, you grant us permission to use that feedback without restriction or obligation to you.

This does not transfer ownership of your existing intellectual property or confidential information to us.

11. Fees and Payments

Certain Donvoo services may require payment of subscription fees, usage fees, service charges, or other applicable charges.

Where fees apply, the applicable pricing, billing cycle, payment terms, and included features will be communicated to you before or at the time of purchase.

You authorize Donvoo or its designated payment provider to charge the applicable fees using the payment method you provide.

Unless otherwise stated, fees are non-refundable except where required by applicable law or expressly provided under the applicable service or subscription terms.

If a payment fails, is reversed, or remains unpaid, we may suspend or restrict access to paid features until the outstanding amount is resolved.

Prices may change from time to time. Where required, we will provide reasonable notice of changes to recurring subscription charges.

12. Free Trials and Promotional Offers

Donvoo may occasionally provide free trials, credits, discounts, promotional pricing, or other offers.

Such offers may be subject to additional terms, eligibility requirements, usage limitations, and expiration dates.

Unless otherwise stated, Donvoo reserves the right to modify or discontinue promotional offers at any time, subject to applicable law.

13. Suspension and Termination

You may stop using Donvoo at any time.

We may suspend or terminate your account or access to Donvoo where we reasonably believe that you have violated these Terms, used the service unlawfully or abusively, created a security risk, failed to pay applicable fees, or otherwise created a risk to Donvoo, other users, or third parties.

We may also suspend access where necessary to address security incidents, technical issues, legal requirements, or other circumstances requiring immediate action.

Where reasonably practicable and appropriate, we may provide notice before terminating or suspending an account.

Upon termination, your right to use Donvoo will cease. Certain provisions of these Terms that by their nature should survive termination will continue to apply, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, disputes, and applicable law.

14. Data After Termination

After termination or cancellation, Donvoo may retain or delete account and User Content in accordance with our Privacy Policy, applicable agreements, and legal obligations.

You are responsible for exporting any information you need before terminating your account where an export functionality is available.

Deletion from active systems may not immediately remove information from backups, which may remain until deleted through our normal backup-rotation procedures.

15. Availability and Service Changes

We aim to provide a reliable service but do not guarantee that Donvoo will always be available, uninterrupted, secure, error-free, or compatible with every device, browser, system, integration, or third-party service.

Donvoo may experience interruptions caused by maintenance, upgrades, technical failures, internet or telecommunications issues, cybersecurity incidents, third-party service failures, infrastructure problems, or circumstances outside our reasonable control.

We may perform scheduled or emergency maintenance where necessary to maintain or improve the service.

16. Disclaimers

Donvoo is provided on an “as is” and “as available” basis to the maximum extent permitted by applicable law.

To the maximum extent permitted by law, we disclaim warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, and suitability for a particular use.

We do not guarantee that Donvoo will meet your specific requirements, operate without interruption, produce a particular business result, or be free from errors, defects, security vulnerabilities, or interruptions.

You are responsible for determining whether Donvoo is appropriate for your intended use.

17. Third-Party Content and Services

Donvoo may display, retrieve, process, or provide access to information or functionality originating from third parties.

We do not guarantee the accuracy, reliability, legality, availability, or completeness of third-party content or services.

Your use of third-party content and services may be subject to additional terms imposed by the relevant provider.

18. Limitation of Liability

To the maximum extent permitted by applicable law, XTrend Lab LLP and Donvoo will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising out of or relating to your use of, or inability to use, Donvoo.

We will also not be responsible for losses arising from third-party services, third-party integrations, external platforms, internet or telecommunications failures, unauthorized actions by third parties, or circumstances beyond our reasonable control.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to Donvoo or these Terms will be limited to the amount you paid to Donvoo for the applicable service during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

19. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless XTrend Lab LLP, Donvoo, and their respective partners, employees, contractors, and service providers from claims, liabilities, damages, losses, costs, and expenses arising out of or relating to your unlawful use of Donvoo, violation of these Terms, infringement or violation of another person’s rights, User Content submitted by you, or your use of third-party services connected to Donvoo.

This obligation will not apply to the extent that a claim results from our own gross negligence, willful misconduct, or other conduct for which liability cannot legally be transferred to you.

20. Confidentiality

Where you provide confidential business information to Donvoo, we will take reasonable measures to protect such information from unauthorized disclosure, subject to the terms of any separate confidentiality agreement between you and XTrend Lab LLP.

Information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law will not be considered confidential solely because it was provided to Donvoo.

21. Privacy

Your use of Donvoo is also subject to our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.

The Privacy Policy forms part of these Terms by reference.

22. Changes to These Terms

We may update these Terms from time to time to reflect changes to Donvoo, our services, technology, legal requirements, or business practices.

When we make changes, we will update the “Last updated” date at the top of these Terms. Where changes are material and applicable law requires additional notice, we may provide notice through the website, email, your account, or another appropriate method.

Your continued use of Donvoo after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

23. Governing Law

These Terms will be governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to applicable law, disputes arising out of or relating to these Terms or Donvoo will be subject to the jurisdiction of the courts located in Assam, India.

Nothing in this section prevents either party from seeking urgent or interim relief from a court of competent jurisdiction where appropriate.

24. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, where legally possible.

The remaining provisions of these Terms will continue in full force and effect.

25. Entire Agreement

These Terms, together with the Donvoo Privacy Policy and any additional terms expressly applicable to a particular Donvoo service, constitute the agreement between you and XTrend Lab LLP regarding your use of Donvoo, unless a separate written agreement between you and XTrend Lab LLP expressly supersedes or modifies these Terms.
